KBiW’s corporate law team supports businesses in the broad area of corporate and company law. We provide services to support the operation of all types of commercial partnerships and companies, both corporations companies [3] and partnerships, as well as to the shareholders of such companies. We advise on all aspects of company law, including transformations, divisions and mergers. We engage in deal advisory, supporting our Clients, among others, in preparing and carrying out multi-stage deals, e.g. in the real estate market.

The KBiW team provides legal assistance and advice:

• in all aspects concerning the establishment of companies and partnerships with both Polish and foreign capital, including the drafting of partnership agreements [4] and company’s articles of association, rules of procedure for supervisory boards and management boards, as well as any agreements concluded between partners and shareholders in connection with the operation of companies and partnerships;
• in the area of ongoing day-to-day corporate legal services, including the preparation of draft resolutions of the corporate bodies and the conduct of annual general meetings and shareholders’ meetings, as well as advising on amendments to partnership agreements and articles of association, particularly with regard to changes in the amount of share capital, changes in the powers of corporate bodies and shareholders, the object of activity, and the redemption of shares;
• preparation and review of management contracts, non-competition agreements and other agreements with members of the management board of directors and other [5] officers, dissolution and liquidation of companies, as well as on all other issues related to the operation of commercial partnership or company;
• representation of entrepreneurs before the registry court in proceedings for the registration of changes in the register of entrepreneurs.

In addition to ongoing legal advice and handling of internal affairs, we assist in transactions for the purchase or sale of enterprises or companies.

In addition, we support Clients in restructuring within capital groups, including transformations, mergers and divisions of companies.

Thanks to cooperation with experienced tax advisors, we can offer comprehensive support, taking into account the constantly changing legal and tax environment. We also advise our Clients on corporate disputes -– not only by representing them before courts, mediators or during negotiations, but also by engaging in activities aimed at preventing such disputes or fostering their settlement of such disputes.
